Terms of service
The terms that govern our website and services. Last updated July 2026.
These Terms and Conditions ("Terms") govern your use of the DigitroWeb website located at digitroweb.com and the services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part, please do not use our website or services.
1. Services
DigitroWeb provides digital services including, but not limited to: web development, search engine optimisation (SEO), digital marketing, AI automation, graphic design and IT consulting ("Services").
The specific scope, deliverables, timeline, and pricing of each project are defined in a separate Project Proposal or Service Agreement signed by both parties. These Terms apply alongside any such agreement.
2. Client Obligations
To allow us to deliver Services effectively, you agree to:
- Provide accurate, complete, and up-to-date information and materials as requested.
- Respond to questions, approvals, and feedback requests within agreed timeframes.
- Ensure you have the legal right to use any content, images, or intellectual property provided to us.
- Designate a single point of contact for project communication.
Delays caused by late feedback or missing materials may affect project timelines and are not the responsibility of DigitroWeb.
3. Payments
3.1 Payment Schedule
Unless otherwise agreed in writing, our standard payment structure is 50% upfront before work begins and 50% upon project completion prior to final delivery.
3.2 Late Payments
Invoices are due within 7 days of issue. We reserve the right to suspend work or withhold deliverables on accounts with overdue balances. Late payments may attract interest at 2% per month on the outstanding amount.
3.3 Refunds
Upfront payments are non-refundable once work has commenced, as they cover time and resources already allocated. Refund requests for incomplete projects will be assessed on a case-by-case basis.
4. Intellectual Property
4.1 Client Content
You retain full ownership of all content, logos, and materials you provide to us. By providing materials, you grant DigitroWeb a non-exclusive licence to use them solely to deliver the agreed Services.
4.2 Deliverables
Upon receipt of full payment, all deliverables (website code, design files, written content, etc.) are assigned to you. Until full payment is received, all deliverables remain the intellectual property of DigitroWeb.
4.3 Portfolio Rights
Unless you request otherwise in writing, DigitroWeb reserves the right to display completed projects in our portfolio, case studies, and marketing materials.
5. Confidentiality
Both parties agree to keep confidential all non-public information shared during the engagement. We will not disclose your business data, project details, or proprietary information to third parties, except as required by law or with your consent. A mutual Non-Disclosure Agreement (NDA) is available on request.
6. Warranties & Representations
DigitroWeb warrants that:
- Services will be performed with reasonable care and skill.
- Deliverables will conform to the agreed specification at the time of delivery.
We do not warrant that SEO or marketing services will achieve specific rankings, traffic targets, or revenue outcomes, as these depend on third-party platforms and market conditions beyond our control.
7. Limitation of Liability
To the maximum extent permitted by law, DigitroWeb's total liability for any claim arising from or related to our Services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
8. Third-Party Services
Our Services may involve third-party tools, platforms, or APIs (e.g. Google, Meta, WordPress, Shopify). We are not responsible for changes, outages, or policy updates made by third parties that affect project deliverables or outcomes.
9. Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination, you are liable for all work completed up to the termination date, billed at an hourly rate for any unbilled work. Termination does not entitle you to a refund of amounts already paid.
10. Governing Law
These Terms are governed by the laws of the State of Gujarat, India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
11. Changes to These Terms
